These Terms of Service ("Terms") govern your access to and use of the Lodgient website and the Lodgient platform (together, the "Services"). By accessing the website or using the platform, you agree to these Terms. If you are entering into these Terms on behalf of a hotel or company, you represent that you have authority to bind that organisation.
Lodgient provides an operational intelligence platform for hospitality — a layer that connects to a property's existing systems (such as its PMS, POS and phone system) to coordinate work across departments, capture guest communications, and protect revenue. Specific capabilities, modules and service levels are set out in the order form or written agreement between Lodgient and the customer.
The platform is intended for use by hospitality businesses and their authorised personnel. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must provide accurate information and promptly update it as needed.
You agree not to: misuse or interfere with the Services; attempt to gain unauthorised access to any system or data; reverse-engineer the platform; use the Services to violate any law or third-party right; or transmit malicious code. We may suspend access where use threatens the security or integrity of the Services.
As between the parties, customers retain ownership of the data they and their guests submit through the platform ("Customer Data"). Customers are responsible for obtaining any necessary consents and for the lawfulness of the data they provide. Lodgient processes Customer Data in accordance with its agreement with the customer and its Privacy Policy.
The Services connect to third-party systems (for example, PMS and POS platforms) via their interfaces. Lodgient is not responsible for the availability, accuracy or practices of third-party services, and your use of them is governed by their own terms.
Fees, billing frequency and any minimum terms are set out in the applicable order form. Unless stated otherwise, fees are charged per property and exclude applicable taxes. There is no hardware cost and no per-device fee.
The Services, including all software, models, designs and content (excluding Customer Data), are owned by Lodgient IP Ltd and its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, subject to these Terms.
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care and use it only to perform its obligations under the agreement, except where disclosure is required by law.
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and we disclaim, to the fullest extent permitted by law, all other warranties, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Each party's aggregate liability arising out of or relating to the Services will not exceed the fees paid or payable by the customer in the twelve months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
Each party will defend and indemnify the other against third-party claims arising from its breach of these Terms or its unlawful use of the Services, subject to prompt notice and reasonable cooperation.
These Terms apply while you use the Services. Either party may terminate for material breach that remains uncured after written notice. On termination, your right to use the Services ends and, on request, we will make Customer Data available for export for a limited period before deletion in line with our retention practices.
Technology and intellectual-property matters are governed by the laws of Ireland; commercial and operational matters are governed by the laws of the State of Delaware, USA, except where mandatory local law applies. The parties submit to the exclusive jurisdiction of the competent courts accordingly.
We may update these Terms from time to time. Material changes will be reflected by the "last updated" date above and, where appropriate, communicated to customers. Continued use of the Services after changes take effect constitutes acceptance.
